MOUS WITH INDIAN COMPANIES

Salient features of MoU

MoU with Indian Farmers Fertiliser Cooperative Limited (IFFCO)

Under this cooperation agreement, both the companies would jointly evaluate the potential of setting up of a Gas based Power Plant and other industries including Chemicals, Fertilisers, Compressed Natural Gas (CNG) & Piped Natural Gas (PNG) in India and also explore the possibility of sourcing of Natural Gas / LNG for the identified projects.

The feasibility study for identified projects would be carried out by GAIL and IFFCO jointly. Subsequently, based on the techno-economics of the project, a Joint Venture Company between GAIL & IFFCO would be formed for implementing the projects.

MoU with Indian Oil Corporation Limited ( IOCL)

As part of the MoU GAIL and IOCL have come together for cooperation in the area of Petrochemicals to collaborate for exploring the possibility of setting up of cracker complex including downstream derivatives at Barauni.

A Joint Working Committee consisting of two representatives from each Company shall be formed for undertaking techno-economic feasibility study of the project including feedstock (naphtha and natural gas) management.

GAIL shall assess the prospect of natural gas availability from the KG basin field including the potentiality of the rich gas to be used as part of the feedstock for the Project and work out the modality for distribution of the same from KG basin field to the Project site. GAIL will subsequently develop appropriate definitive agreement for supply of the gas to the joint venture, once formed.

IndianOil shall assess the prospect of availability of off-gas and naphtha not only from Barauni refinery but also from other operating refineries of IndianOil, to be used as predominant feedstock for the said Project and work out the modality for positioning of the same to the Project location. IndianOil will subsequently develop appropriate definitive agreement(s) for supply of the feedstocks to the joint venture, once formed.

MoU with Bharat Petroleum Corporation Limited (BPCL)

Various issues of mutual interest identified as part of the MoU are cooperation in the areas of Natural Gas –Transmission and distribution, LPG Pipeline, City Gas Projects, Exploration & Production, use and marketing of Naphtha, Infrastructure Projects and Technology & Knowledge Sharing

GAIL and BPCL have agreed to cooperate and examine various options available for transmission/distribution of BPCL’s gas from different sources on ownership / contract carriage / common carrier basis through the existing pipeline network of GAIL and new infrastructure being created and planned by GAIL. Both companies have also agreed to cooperate each other in sourcing of Natural Gas/ LNG from overseas.

Considering the economic and environmental advantages of pipeline transportation, both the companies have agreed to cooperate in developing LPG pipeline network from existing/ new production centers.

MoU with Coal India Limited (CIL)

As part of MOU, GAIL and CIL will jointly develop a surface Coal Gasification Project for production of synthesis gas to be used as feedstock for fertilizer production. The project would entail an investment of around Rs. 2400 crore for setting up the coal gasification plant. The two companies will form a joint Working Group to evaluate detailed feasibility report prepared by GAIL to evaluate the viability of the project in terms of techno-economic feasibility for the project.  

MoU with Rashtriya Chemicals and Fertilizers (RCF)

As part of MOU, GAIL will undertake the Techno-economic study for setting up a Commercial Coal Gasification Plant for production of Synthesis Gas and RCF will carry out the techno-economic study for setting up a commercial plant to produce fertilizer by utilizing the synthesis gas from the proposed Coal Gasification Plant.  

MoU with Oil India Limited (OIL)

Various areas of mutual interests identified in the MoU include Exploration and Production, Natural gas Marketing and Transmission, City Gas Distribution, Coal Bed Methane, Petrochemicals and Technology and Knowledge Sharing. Both the companies will explore opportunities for cooperation in greater details so that respective resources could be pooled on the basis of mutuality and reciprocity

As part of the agreement, the two companies will jointly participate in the potential blocks, mainly onshore and offshore blocks in the forthcoming NELP VII bidding round. The two Companies will also examine the possibility of joint bidding for overseas exploration blocks and also securing farm-in options in already awarded exploration blocks in India and abroad.

MoU with Oil and Natural Gas Corporation

Under the MoU, the two companies have agreed to come together through Joint Venture approach for monetizing the gas reserves discovered by ONGC in KG and Mahanadi basins. The Joint Venture approach will enable production, processing, transportation, distribution and marketing of gas from new sources to identified markets. The JV will synergise the respective production, transportation and distribution strengths of ONGC and GAIL.

MoU with Indian Oil Corporation

The second joint venture of GAIL and Indian Oil for city gas distribution projects in India reiterates the focused business approach of the two companies to exploit the city gas marketboth domestic and international with focus in Pakistan and Libya, where GAIL has shown keen interest.

Joint Venture Agreement with Hindustan Petroleum Corporation

The Joint Venture Company will take up City Gas Distribution projects in Rajasthan and enable use of Compressed Natural Gas (CNG) and Piped Natural Gas (PNG) in cities of Rajasthan for automotive and domestic use. The JV will start operations in Kota for which the Detailed Feasibility Report (DFR) has already been prepared by GAIL. GAIL’s Vijaipur – Kota pipeline is already operational and the Kota city gas project will source its gas though this pipeline. The new Joint Venture will have 22.5 percent equity holding each by GAIL and HPCL, five percent by the State Government or its nominee and 50 percent by strategic Investors / public / financial institutions.

Gas Sales Agreement with Reliance

The areas of joint cooperation identified are: Natural Gas- Pipeline Transmission and Marketing, CBM Gas Opportunities, City and Local Gas Distribution, Operations and Maintenance (O&M) Services, Exploration & Production and Technology and Knowledge Sharing.

Under the MoU, the two companies will now work out the modalities for transportation of natural gas from the various gas sources of RIL in Krishna Godavari and Mahanadi basins on the east coast through pipeline and long-term arrangements with regard to gas supply and distribution.

The scope of cooperation covers additional gas supplies to power plants, new power generation plants, joint bidding for Dabhol Power Company, laying telecom duct / power cable, co-marketing telecom services, promotion of CNG vehicle, establish viability of natural gas fired vapour absorption machine (VAM), gas based cooling and heating solution, overseas opportunities, Hydrogen fuel cell technology.

Salient features of MoU

MoU with Apollo Tyres

The MoU was signed for a Steam conversion project based on Waste Heat Recovery system from GAIL’s gas turbines. This rare, multi-benefit project will utilize Clean Development Mechanism (CDM) for power generation which will in turn lead to conservation of gas as well as increased energy efficiency. A first-of-its-kind project, this will be implemented by GAIL at its Vaghodia Compressor Station (near Vadodara) for supply of steam to Apollo Tyres within 24 months at a cost of around Rs. 35 crores. The duration of the Agreement is 15 years and the commercial supply will start from July 2009. The Annual Contracted Quantity is 4, 36,800 MT.

MoU with China Gas Holdings Ltd

Pursuant to signing of this Joint Venture Agreement (JVA), a Joint Venture (JV) Company between GAIL and China Gas with an equity participation of 50: 50% shall be set up. The business of JV shall be primarily related to natural gas sector projects in the areas of CNG/City Gas, Coal Bed Methane (CBM), Pipelines and LNG in China, India and other countries also. GAIL’s expertise in the midstream and downstream gas sector and China Gas’s track record in securing contracts and rapid expansion shall be leveraged to make the JV a successful company.

Principles of Cooperation (PoC) with Gaz de France (GdF), France

It covers cooperation in the development of LNG import projects; development of gas pipeline infrastructure; underground gas storage; natural gas trading; gas retailing practices; high efficiency gas use applications; E&P activities; R&D and pilot projects.
